1. Quantity: Panamax vessel with 75,000 MTs+/-10% comprising of BHPB 4800 - 35,000 MTs and EX 5500 - 40,000 MTs - Steam Coal of South African Origin with loadport laycan as 05-14 Feb 2016.
2. Proposed Laycan: Panamax Shipment with loadport laycan as 05-14 Feb 2016.
For the above shipment the Fixture Note and Charter Party are to be provided within 3 (three) working days after acceptance of offer for vessel freight and becomes an integral part for calculation of laytime.
3. Load Port: 1SP 2 SB, RBCT, South Africa.
4. Discharge Port: 1SP 2 SB, Mormugao Port, India (Present available draft is 14mtrs and LOA 270mtrs (Max).
5. Vessel Age: Vessel should be preferably less than 10 years old but not at all exceeding 15 years. Further, the acceptance of nomination of vessel is subject to the following Marine Vetting Clause of the contract between Seller and Buyer:
"Any Vessel which is nominated by the Buyer in respect of a Shipment, may (and, if the Seller so requires by notice in writing to the Buyer, shall) be vetted under an internationally recognized vessel assessment system on the basis of the applicable vetting questionnaire signed by the Vessel owner's Technical Manager and, in all cases where (1) the Vessel has passed the 25th anniversary of its "date of build" and the latest inspection report is over 12 months old, or (2) the Vessel is between 8,000 DWT and 60,000 DWT and has passed the 18th anniversary of its "date of build" and the latest inspection report is over 12 months old, or (3) the Vessel is greater than 60,000 DWT and has passed the 15th anniversary of its "date of build" and the latest inspection report is over 12 months old, on the basis of a physical inspection. If the Vessel fails to obtain approval through the vessel assessment system as a result of such vetting, the Seller shall be entitled to reject nomination of the Vessel by service of notice in writing to be received by the Buyer within two (2) Working Days of the Seller's receipt of notification of such failure. For the avoidance of doubt, the service of a notice of rejection pursuant to this clause does not of itself entitle the rejecting Party to treat the Agreement as terminated and will not constitute a breach of the Agreement. If a valid notice of rejection is served, the Buyer shall nominate a substitute vessel within two (2) Working Days of receipt of the rejection notice without prejudice to the other terms and provisions of this Agreement which shall remain unaffected, including but not limited to the agreed Shipping Schedule and laycan. Such substitute Vessel shall be subject to the Seller's approval in accordance with this clause."
6. Load Rate: RBCT Scale Rates - As per RBCT Norms, Rules and Regulations to apply.
LAYTIME - At Load Port - The loading rate shall be as per RBCT scale rates and norms per weather working day of 24 consecutive hours including Saturdays, Sundays and holidays but Charter Party holidays and other holidays declared by the port and incorporated in the SOF are exempted and shall be subject to the following conditions:
i. Laytime for loading shall commence to count 18 (eighteen) hours after Notice of Readiness is tendered/accepted. The laytime calculation is also basing on RBCT Norms, Rules and Regulations.
ii. In case Charterers/Shippers can agree/arrange to load before laytime commences to count, then the time actually used in loading shall only count as laytime.
iii. Loading stoppages due to owner's/ vessel's requirements shall not count as laytime.
iv.Time involved for Initial/Interim and final draft surveys will not count as laytime.
v.Shifting time of vessel from Anchorage to berth and subsequent shifting from one berth to other while loading will not count as laytime.
vi. Laytime cease to count once loading is completed.
7. Discharge Rate :( For Panamax vessels discharging cargo above 75,000 Metric Tons): 20,000 MTs (Twenty Thousand Metric Tons) PWWD, with available draft.
LAYTIME - At Discharge Port:
The discharging rate for Panamax Vessles shall be minimum average rate of 20,000 MTs per weather working day of 24 consecutive hours including Saturdays, Sundays and holidays but CP holidays and other holidays declared by the port and incorporated in the SOF and Daily Port Working Sheets are exempted. The discharging rate shall be subject to the following conditions.
. At discharge port laytime shall commence to count 12 (twelve) hours after Notice of Readiness is tendered/accepted, whether the vessel is in berth or not.
. Laytime allowed to be computed only on Bill(s) of Lading quantity.
. In case Charterers can agree/arrange discharging cargo before laytime commences to count, then the time actually used only to count as laytime.
. Time involved for Gangway Lowering, Customs Clearance and Initial/Interim and final draft surveys will not count as laytime even if the vessel is on demurrage
. Shifting time of vessel from Anchorage to berth including lowering of Gangway and subsequent shifting from one berth to other while discharging will not count as laytime.
. The recess hours approved/granted by the port during daily port working hours which are incorporated in SOF and daily port working sheets will not count as laytime even if the vessel is on demurrage.
. Laytime cease to count once discharging is completed.
AT LOAD AND DISCHARGE PORTS:
Demurrage/Dispatch Rate to be declared while quoting the vessel freight/or on nomination/acceptance of vessel with mutual consent.
The loading and discharging rates shall also be subject to the following additional conditions
i. Laytime is non-reversible between load port(s) and discharge port(s).
ii.Time used in shifting from the place of tendering and/or the waiting anchorage and/or berth to the place of loading and/or discharging is not to count as laytime even if the vessel is on demurrage and any shifting expenses, limited to a maximum of 2 (two) shifting per port to be for owner's account. In the event such shifting is made before laytime commences, then the shifting time is deemed to be used as part of the turn-time, but any shifting expenses only to be for owner's account.
iii. At both load and discharge port(s) shifting time between Anchorage to the load or discharge berths not to count as laytime but shifting expenses to be for owner's account.
iv. Vessel to be left in seaworthy trim to Master's and Port authorities' satisfaction for shifting between the load/discharge berth(s) and/or anchorage (s) and load/discharge ports.
v. Time lost through lack of vessel's power breakdown or inefficiency of equipments/any neglect or fault of the vessel, its owners/master and crew or their agents affecting the loading or discharging operation shall not count as laytime or time on demurrage. Any time lost due to the vessel taking ballast or deballasting not to count as laytime even if the vessel is on demurrage.
vi. In the event of dead freight being due, laytime shall be calculated on the basis of tonnage for which the freight is to be paid and not on the bill of lading quantity.
vii. IF THE LOADING/DISCHARGING IS INTERRUPTED/STOPPED DUE TO BAD WEATHER/ AND BY
CLOSURE OF HATCHES AT LOAD/DISCHAGE PORTS, SUCH TIME INVOLVED WILL NOT COUNT AS LAYTIME EVEN IF THE VESSEL IS ON DEMMURRAGE.
viii. If Customs clearance is not obtained before tendering NOR on arrival of vessel and its acceptance, then a fresh NOR is to be tendered by Master/Agents for acceptance by Charterers or their Agents. Likewise if the vessel is found not in free pratique, laytime shall cease to count till free pratique is passed/granted.
