(A) VESSELS NOMINATED UNDER THIS CONTACT SHALL BE GEARED SINGLE DECK SELF-TRIMMING BULK CARRIER TYPE WITH THE ENGINE AND BRIDGE AFT AND WITH THE HIGHEST CLASS OF LLOYD'S REGISTER OR EQUIVALENT.
(B) SHOULD BE CAPABLE OF BALLASTING AND DE-BALLASTING WITHOUT INTERRUPTION TO THE CONTINUOUS LOADING / DISCHARGING OPERATION.
(C) SHOULD NOT HAVE PONTOON HATCH COVERS.
(D) VESSEL TO COMPLY IN EVERY RESPECT WITH ALL INTERNATIONAL AND LOCAL REGULATIONS IN THE PORT OF LOADING/UNLOADING AND WILL COMPLY WITH ALL APPLICABLE REGULATIONS GOVERNING THE CARRIAGE BY SEA OF THE PRODUCT IN BULK.

IN CASE OWNERS ARE UNABLE TO SECURE ABOVE APPROVALS / PERMISSIONS TO BERTH AND LOAD THE VESSEL FROM THE RELEVANT AUTHORITIES, OWNERS WARRANT TO MANDATORILY PROVIDE, AN APPROPRIATE SUBSTITUTE VESSEL WITHIN THE ORIGINAL LAYCAN. NOR, IF ANY, TENDERED BY THE ORIGINAL VESSEL SHALL BE DEEMED AS INVALIDATED UNDER THESE CIRCUMSTANCES AND ALL TIME, COSTS, RESPONSIBILITY AND RISK INCURRED SHALL BE SOLELY ON OWNERS ACCOUNT

ALL OWNERS IN THE CP CHAIN WARRANTS THAT OBL’S WILL BE ISSUED AND RELEASED BY VESSEL AGENTS WITHIN SIX HOURS OF COMPLETION OF LOADING.
OWNERS TO SATISFY THEMSELVES WITH ALL RESTRICTIONS BENDS; NON-COMPLIANCE BY OWNERS OF ANY TERM(S)/WARRANTIES OF THIS FIXTURE SHALL BE DEEMED TO BE BREACH OF GOVERNING CHARTER PARTY.

THE OWNERS ARE FULLY AWARE OF THE NATURE OF THE CARGO TO BE LOADED AND WILL ENSURE THAT THE MASTER WILL ACT REASONABLY WHEN HE EXERCISES HIS DISCRETION TO REJECT/ACCEPT ANY CARGO FOR ANY REASON WHATSOEVER HOWEVER ALWAYS BEFORE CROSSING SHIP’S RAILS INBOUND. VESSEL TO HOLD ALL REQUIRED VALID STATUTORY AND TRADING CERTIFICATES FOR THE INTENDED DURATION OF THE VOYAGE. OWNERS WARRANT MAINTAINING IG PANDI & H & M COVER FOR FULL VESSEL VALUE FOR THE ENTIRE DURATION OF THIS CHARTER PARTY. OWNERS TO CONFIRM THAT THE NOMINATED VESSEL HAS FULL MARINE INSURANCE COVER FOR HULL & MACHINERY AND IS FULLY P+I COVERED WITH FIRST CLASS PNI CLUBS DURING THE VOYAGE. IN CASE OF ANY LOSS OF VESSEL RESULTING IN INVOCATION OF GENERAL AVERAGES CLAUSE, THE CHARTERERS SHALL BE CALLED UPON TO CONTRIBUTE, SUBJECT TO THE LAW OF GENERAL AVERAGES, ONLY TO THE EXTENT OF NON-PAYMENT OF THE VESSEL VALUE (AS PER THE INSURANCE POLICY) BY THE INSURERS. THE CHARTERERS SHALL HAVE NO LIABILITY TO CONTRIBUTE IF VALID INSURANCE COVER OF THE VESSEL, AS REFERRED TO ABOVE, DOES NOT EXIST.
VESSEL SUITABLE FOR LOADING / DISCHARGING OF OUR CARGO AND ABLE TO WITHSTAND THE USAGE OF MECHANICAL EQUIPMENT IN HOLDS
NOT LESS THAN 21 DAYS BEFORE THE COMMENCEMENT OF LAYCAN, THE OWNER SHALL NOTIFY THE CHARTERER THE VESSEL NAME AND ITS ETA. ONLY ONCE, OWNERS HAVE AN OPTION TO SUBSTITUTE A SIMILAR VESSEL 10 DAYS PRIOR TO LAYCAN. IN CASE, OWNERS FAIL TO NOMINATE A SUITABLE PERFORMING VESSEL AS PER THE CONTRACT, THEN CHARTERERS WITHOUT PREJUDICE TO THEIR RIGHTS AND AT THEIR SOLE DISCRETION MAY EITHER GRANT TIME EXTENSION TO OWNERS TO PRESENT A SUITABLE PERFORMING VESSEL WITHIN THE INITIAL SPECIFIED LAYCAN OR MAY APPOINT AN ANOTHER PERFORMING VESSEL, HENCE AFTER CALLED AS “ALTERNATE VESSEL”, AT THE RISK AND COST OF THE OWNERS.
IF THE COST FOR CHARTERING AN “ALTERNATE VESSEL” EXCEEDS THE COST AGREED TO BE PAID TO THE OWNERS, THE OWNERS SHALL PAY THE COST DIFFERENCE TO THE CHARTERERS WITHOUT PREJUDICE TO CHARTERERS’ RIGHTS.
CHARTERER’S TO APPROVE A NOMINATED VESSEL WITHIN 24 HOURS SUBJECT TO
1. NEXT DAY SHOULD BE A WORKING DAY (MON TO FRIDAY, 9 AM TO 5:30 PM IST)
2. COMPLETE VESSEL CERTIFICATES ALONG WITH FILLED WORSLEY QUESTIONNAIRE ARE PROVIDED ALONG WITH VESSEL NAME FROM THE OWNERS END.

4. VESSEL MUST HAVE UNOBSTRUCTED DECK SPACE TO SAFELY LAND GANGWAY 3.5M FORE TO AFT 2.5M ACROSS DECK (THIS MEANS CLEAR, FLAT SPACE- NO STANCHIONS/VENTS/COVERS) I.E. THE PORT WILL NEED TO HAVE PHOTOS OF SUCH UNOBSTRUCTED DECK SPACE, SHOWING THE DIMENSIONS.
AS PART OF OUR IMPROVED PROCEDURE FOR COMPLIANCE WITH THE REGULATIONS AND REQUIREMENTS AT THE PORT OF LOADING, YOU ARE REQUESTED TO COMPLETE AN ONLINE BHP BILLITON TERMINAL SPECIFIC QUESTIONNAIRE FOR THIS VESSEL. THIS QUESTIONNAIRE IS INDEPENDENT FROM ANY RIGHTSHIP VETTING PROCESS.
ONCE COMPLETED, THIS QUESTIONNAIRE WILL BE REVIEWED BY TERMINAL STAFF FOR SUITABILITY. THE QUESTIONNAIRE WILL HAVE A 12 MONTH VALIDITY ONCE APPROVED, ASSUMING CONTINUED SATISFACTORY PERFORMANCE OF THE VESSEL AT RELEVANT TERMINALS.
TO UPHOLD TERMINAL STANDARDS, TERMINAL MARINE STAFF MAY PERIODICALLY BOARD THE VESSEL TO CONFIRM COMPLIANCE TO SUBMITTED RESPONSES IN THE VETTING QUESTIONNAIRE. FAILURE TO COMPLY WITH SUBMITTED INFORMATION MAY LEAD TO THE VESSEL BEING DEEMED NOT SUITABLE TO RETURN TO LOAD AT THE TERMINAL AND DENIED FUTURE NOMINATION ACCEPTANCE. SAFETY IS A KEY CHARTER VALUE FOR BHP BILLITON AND THE QUESTIONNAIRE ASSISTS TO FURTHER DELIVER ON THIS COMMITMENT.
CHARTERER’S TO APPROVE STOWAGE PLAN AND DECLARE APPROXIMATE CARGO LOADING QUANTITY AT LEAST 3 DAYS PRIOR TO ETA LOADPORT

PRIOR TO ACCEPTING NOR SHIPPER WILL CONDUCT A HOLD INSPECTION. FOR ALUMINA LOADING, OWNERS TO ENSURE ALL HOLDS/HATCHES ARE CLEAN, DRY, FRESH WATER WASHED, FREE OF ALL LOOSE RUST, SCALE AND PREVIOUS CARGO RESIDUES. AS ALUMINA SURVEYS ARE EXTREMELY STRICT, SURVEYOR WILL PAY PARTICULAR ATTENTION TO THE FOLLOWING AREAS: UNDERSIDE OF HATCH COVERS, COAMINGS, DECKHEADS, DECK BEAMS, BULKHEADS, SHELL PLATING, BEHIND SIDE FRAMES AND BRACKETS, HOPPERS AND ESPECIALLY TANKTOPS - TANKTOPS ARE TO BE BARE METAL - THE SHIPPER'S SURVEYOR WILL PAY PARTICULAR ATTENTION TO THE TANKTOPS///TANKTOPS TO BE BARE METAL AND FREE OF ALL HARD RUST AND RUST SCALE///
IF THE RELEVANT NOR IS TENDERED AT ANCHORAGE OR WAITING BERTH PRIOR TO OBTAINING FREE PRATIQUE AND, UPON INSPECTION, THE VESSEL DOES NOT IMMEDIATELY GAIN FREE PRATIQUE AND/OR PASS HOLD INSPECTION, THEN THE TIME USED IN OBTAINING FREE PRATIQUE AND/OR PASSING HOLD INSPECTION SHALL NOT COUNT AS LAYTIME, EVEN IF THE VESSEL IS ON DEMURRAGE.
AT LOADING PORT, IF VESSEL IS FOUND NOT READY IN EVERY RESPECT TO LOAD AS PER ABOVE; THE VESSEL SHALL RETENDER NOR ONCE SHE IS READY IN EVERY RESPECT AGAIN TO THE SATISFACTION OF AN INDEPENDENT SHIPPER/CHARTERER SURVEYOR AND TIME TO COMMENCE TO COUNT FROM 12(TWELVE) HOURS THEREAFTER. FOR THE REMAINING HOLDS, TIME TO COMMENCE TO COUNT FROM THE TIME THEY ARE READY IN EVERY RESPECT AGAIN TO THE SATISFACTION OF AN INDEPENDENT SHIPPER/CHARTERER SURVEYOR.
IF THE VESSEL HOLDS ARE FOUND NOT TO BE AS PER SHIPPERS’ SATISFACTION, CHARTERERS TO APPOINT AN INDEPENDENT SURVEYOR AT OWNER’S EXPENSE AND IN THEIR TIME.
STEVEDORES ALTHOUGH APPOINTED BY THE CHARTERERS, SHIPPERS, RECEIVERS OR THEIR AGENTS ARE UNDER THE DIRECTION AND CONTROL OF THE MASTER. ANY CLAIM FOR THE DAMAGE TO THE VESSEL OCCURING DURING LOADING AND DISCHARGING OR AT ANY TIME DURING THE VOYAGE THROUGH IMPROPER OR NEGLIGENT STOWAGE OF THE CARGO TO BE SETTLED DIRECTLY BETWEEN OWNERS AND STEVEDORES.CHARTERERS SHALL ASSIST OWNERS BEST EFFORTS BASIS.
NOTWITHSTANDING ANYTHING CONTRARY CONTAINED IN THIS AGREEMENT, ANY DAMAGE TO STEVEDORES’, CHARTERER’S EQUIPMENT, PROPERTY, MACHINERY, ASSET DUE TO OWNERS/SHIPS CREW’S OR MASTER’S DEFAULT TO BE ON OWNER’S ACCOUNT ONLY. RECTIFICATION OF SUCH DEFAULT, AND/OR COMPENSATION FOR DAMAGES ARISING OUT OF SUCH DEFAULT PAYABLE BY THE OWNER SHALL BE MUTUALLY AGREED BETWEEN THE OWNER AND THE CHARTERER PRIOR TO THE VESSEL COMPLETING DISCHARGING FROM THE PORT. THE CHARTERER SHALL HAVE THE RIGHT TO RETAIN AND/OR ADJUST SUCH COMPENSATION AGAINST DUES OF THE OWNER. TIME TAKEN FOR STOPPAGES, SHIFTING OR ANY OTHER DELAY ARISING OUT OF DEFAULT OF THE OWNER SHALL BE EXCLUDED FROM LAYTIME CALCULATION, EVEN IF THE VESSEL IS ON DEMURRAGE
PERFORMING OWNERS WARRANT THAT ALL OWNERS IN THE CURRENT OWNERSHIP CHAIN, INCLUDING DISPONENTS, OF THE PERFORMING VESSEL HAVE NO AFFILIATION / CONNECTION TO BARRED /BANNED COUNTRIES / ENTITIES AS PER THE LATEST USOFAC SDN LIST AND ITS INTERNATIONAL VERSIONS AS APPLICABLE. IF ANY CONNECTION / AFFILIATION IS DISCOVERED BEFORE, DURING OR AFTER THE VOYAGE, THE PERFORMING OWS SHALL BE HELD IN BREACH OF GOVERNING CP WITHOUT RECOURSE. ALL CONSEQUENTIALS INCLUDING BUT NOT LIMITED TO BLOCKAGE OF FUNDS /SANCTIONS ETC SHALL BE TO THEIR RISK, RESPONSIBILITY AND ACCOUNT. OWNERS SHALL FULLY INDEMNIFY CHARTERERS FOR ANY PROVEN LOSSES,IF ANY, ARISING DUE TO ABOVE.
WORSLEY LOAD PORT T&C
A. ARRIVAL OUTSIDE OF LAYDAYS
IF A VESSEL FAILS TO TENDER A VALID NOR WITHIN THE FINAL LAYDAYS SPECIFIED FOR THAT VESSEL THEN:
A. THE VESSEL SHALL AUTOMATICALLY LOSE PRIORITY;
B. SUBJECT TO SECTION (A) SELLER/SHIPPER SHALL LOAD THAT VESSEL WHEN IT IS PRACTICABLE FOR SELLER TO DO SO WITHOUT DELAYING OR INTERFERING WITH THE OTHER VESSELS SCHEDULED TO THE BERTH AND THE VESSEL SHALL WAIT FOR THE AVAILABILITY OF THE BERTH;
C. UNDER NO CIRCUMSTANCES SHALL SELLER/SHIPPER BE LIABLE FOR ANY DEMURRAGE OR OTHER COSTS IN RELATION TO ANY DELAY TO THAT VESSEL OR DELAY IN LOADING THAT VESSEL; AND
D. OWNER SHALL BECOME LIABLE FOR DESPATCH IF SELLER/SHIPPER COMPLETES LOADING IN A TIME WHICH IS LESS THAN THE PERIOD OF LAYTIME ALLOWED FOR THAT VESSEL UNDER THIS LOADING AGREEMENT AND FOR THE PURPOSES ONLY OF CALCULATING DESPATCH, LAYTIME SHALL BE DEEMED TO COMMENCE WHEN LOADING COMMENCES.
A SUBSTITUTE VESSEL PRESENTED OUT OF LAYDAYS SHALL NOT HAVE PRIORITY OVER ANY OTHER VESSEL.
B. VESSEL LOADING
A. LOADING SHALL BE PERFORMED AT A RATE OF 20,000 MT AT BUNBURY, FOR EACH WEATHER WORKING DAY OF TWENTY FOUR (24) CONSECUTIVE HOURS (WITH A PRO RATA PROPORTION TO BE ALLOWED FOR PART OF A DAY), INCLUDING SATURDAYS AND SUNDAYS AND OFFICIAL WESTERN AUSTRALIAN GAZETTED PUBLIC HOLIDAYS.
B. LOADING SHALL COMMENCE WHEN THE VESSEL IS SECURE IN THE BERTH, THE INITIAL DRAFT SURVEY HAS BEEN COMPLETED, THE VESSEL IS ACCEPTED AS READY TO RECEIVE CARGO AND ALL RELEVANT HATCHES ARE OPEN. WEATHER PERMITTING; LOADING SHALL PROCEED UNTIL THE AGREED QUANTITY HAS BEEN LOADED.
C. THE OPENING AND CLOSING OF HATCHES SHALL BE PERFORMED BY OWNER AT ITS TIME AND EXPENSE. TRIMMING SHALL BE LIMITED TO THAT WHICH CAN BE REASONABLY PERFORMED BY SELLER’S LOADING BOOM. NO HAND TRIMMING WHATSOEVER SHALL BE CARRIED OUT IN THE BERTH.
D. ALL SHIFTING OF A VESSEL TO, IN AND FROM THE LOADING BERTH SHALL BE PERFORMED EXPEDITIOUSLY AT THE RISK, RESPONSIBILITY AND EXPENSE OF OWNER. SELLER/CHARTERER IS RELEASED FROM ALL LIABILITY IN RESPECT OF DAMAGE OCCURRING BECAUSE OF, OR AS A RESULT OF SUCH SHIFTING.
E. THE VESSEL SHALL BE RESPONSIBLE FOR PROVIDING MOORING LINES AND WINCHES AND TENDING THEM PROPERLY WHILST AT THE BERTH. A VESSEL WITH UNDER STRENGTH OR INSUFFICIENT MOORINGS, OR INADEQUATE WINCHES, SHALL BE CONSIDERED UNSEAWORTHY.
F. A VESSEL SHALL PERMIT SELLER TO USE WINCHES AND OTHER APPROPRIATE GEAR AND WILL PROVIDE SUFFICIENT POWER FOR SUCH EQUIPMENT WITHOUT COST TO SELLER TO THE EXTENT NECESSARY TO PERFORM THE LOADING OPERATION.
G. ALL LOADING SHALL BE PERFORMED BY SELLER FOR ITS ACCOUNT. IF SELLER ELECTS TO LOAD DURING ANY PERIOD REQUIRING THE PAYMENT OF OVERTIME TO SELLER’S EMPLOYEES, SUCH OVERTIME SHALL BE FOR THE ACCOUNT OF SELLER, BUT ANY OVERTIME PAYABLE TO THE VESSEL’S PERSONNEL IN RESPECT OF THE SAID PERIOD SHALL BE FOR THE ACCOUNT OF OWNER.
H. ON COMPLETION OF LOADING, THE MASTER OF THE VESSEL OR HIS AGENTS AND SELLER SHALL SIGN A STATEMENT OF FACTS WHICH SHALL BE THE BASIS OF CALCULATING LAYTIME BETWEEN THE BUYER AND SELLER.
I. IF WHILST A VESSEL IS IN BERTH, IT:
A. PREVENTS THE COMMENCEMENT OF LOADING; OR
B. CAUSES INTERRUPTION TO LOADING AFTER LOADING HAS COMMENCED; OR
C. BECOMES UNABLE TO LOAD (OTHER THAN BECAUSE OF FACTORS CAUSED BY SELLER);
SELLER MAY AT ITS DISCRETION, AFTER THE RELEVANT CIRCUMSTANCES HAVE PREVENTED LOADING FOR A CUMULATIVE PERIOD OF THREE (3) HOURS, ORDER THAT VESSEL FROM THE BERTH.
J. IF THE VESSEL FAILS TO LEAVE THE BERTH AS SOON AS IS PRACTICAL AFTER AN ORDER IS GIVEN UNDER (I) ONWER SHALL BE LIABLE FOR ALL COSTS AND EXPENSES WHATSOEVER (INCLUDING DEMURRAGE AND OTHER PAYMENTS REASONABLY PAYABLE TO OTHER VESSELS DELAYED BY THE BUYER’S VESSEL) WHICH SELLER SUSTAINS IN RELATION TO OR BECAUSE OF THE VESSEL’S FAILURE TO LEAVE THE BERTH.
K. SUBJECT TO THE RIGHTS OF OTHER VESSELS THEN WAITING FOR THE BERTH, THE BUYER’S VESSEL SHALL BE ENTITLED TO RE-ENTER THE BERTH AND FINISH LOADING WHEN THE RELEVANT PROBLEM HAS BEEN OVERCOME.
L. AFTER COMPLETION OF LOADING THE VESSEL SHALL VACATE THE LOADING BERTH AS SOON AS PRACTICALLY POSSIBLE, WEATHER AND TIDES PERMITTING. ANY LOSS OR LIABILITY INCURRED BY SELLER AS A RESULT OF THE VESSEL’S FAILURE TO PROMPTLY VACATE THE BERTH AND/OR RESULTS IN DELAYS IN THE BERTHING OF OTHER VESSELS, SHALL BE FOR OWNERS ACCOUNT.
M. IF THE VESSEL IS UNABLE TO VACATE THE BERTH FOR ANY REASON, INCLUDING BUT NOT LIMITED TO, DRAFT RESTRICTIONS, ERROR OMISSIONS OR NEGLIGENCE BY THE VESSEL, MASTER OR AGENTS, THEN
ALL COSTS INCURRED BY SELLER/CHARTERER, INCLUDING DEMURRAGE ON WAITING VESSELS SHALL BE TO OWNERS ACCOUNT.
N. ALL SHIFTING OF A VESSEL TO AND FROM BERTH 6 SHALL BE PERFORMED EXPEDITIOUSLY AT THE RISK AND RESPONSIBILITY OF THE OWNER.
O. THE OWNER EXPRESSLY RELEASES THE SELLER/CHARTERER FROM ALL LIABILITY IN RESPECT OF DAMAGE OCCURRING BECAUSE OF OR AS A RESULT OF SUCH SHIFTING IN SO FAR AS SUCH DAMAGE SHALL NOT BE ATTRIBUTABLE TO ANY MALICIOUS OR NEGLIGENT ACT OR OMISSION ON THE PART OF THE SELLER OR WORSLEY.
P. LOADING SHALL CONSIST OF CENTRE DROP(S) TO A MAXIMUM HEIGHT OF ONE (1) METRE BELOW THE TOP OF THE HATCH COAMING. FOR EASE OF CALCULATION OF MAXIMUM TONNAGE THAT CAN BE LOADED IN ANY ONE HOLD – WORSLEY SHALL ONLY LOAD TO A MAXIMUM OF EIGHTY (80) PERCENT OF THE GRAIN CAPACITY OF EACH HOLD. THIS CALCULATION IS BASED UPON A STOW FACTOR (S.F.) OF 1.0.
Q. TRIMMING SHALL BE LIMITED TO TWO (2) DROPS OFF THE CENTRE LINE TO A MAXIMUM HEIGHT OF ONE (1) METRE BELOW THE TOP OF THE HATCH COAMING OF THE VESSEL OR THAT WHICH CAN BE REASONABLY PERFORMED BY THE LOADING BOOM BEING USED
R. THE OWNER MUST SUBMIT TO WORSLEY/CHARTERER A FULLY DETAILED LOADING PLAN INCORPORATING BENDING MOMENTS (BM) AND SHEER FORCE (SF) FACTORS FOR THE QUANTITY TO BE LOADED ON BERTH 6 PRIOR TO ARRIVING AT THE LOAD PORT.
S. THE OWNERS SHALL ENSURE AND SHALL ESTABLISH TO THE SELLER’S REASONABLE SATISFACTION THAT AT ALL TIMES EACH VESSEL REMAINS SO COVERED UNTIL THE VESSEL HAS LEFT BERTH 6 ON COMPLETION OF LOADING.
C. LAYTIME CALCULATION
A. LAYTIME SHALL COMMENCE UPON WHICHEVER OF THE FOLLOWING EVENTS OCCURS FIRST:
A. TWELVE (12) HOURS AFTER A VALID NOTICE OF READINESS IS TENDERED;
B. COMMENCEMENT OF LOADING THE VESSEL.
C LAYTIME SHALL EXCLUDE THE FOLLOWING (EVEN IF ON DEMURRAGE):
C. SHIFTING TIME FROM/TO ANCHORAGE TO/FROM DISCHARGING PLACE/ BERTH;
D. TIME LOST DUE TO THE VESSEL’S INABILITY TO RECEIVE ALUMINA;
E. TIME TAKEN IN OPENING AND CLOSING HATCH COVERS, IF SUCH WORK DELAYS LOADING;
F. DELAYS DUE TO WEATHER CONDITIONS, AWAITING DAYLIGHT OR AWAITING PILOTS OR TUGS;
G. TIME LOST DURING ANY PERIOD WHEN THE LOAD PORT IS OFFICIALLY CLOSED;
H. TIME LOST AS A RESULT OF A LABOUR DISPUTE, OR STRIKE, INVOLVING MASTER, OFFICERS OR CREW OF THE VESSEL OR TUGS;
I. TIME LOST DUE TO THE OCCURRENCE OF FORCE MAJEURE;
J. LAYTIME SHALL CEASE UPON THE COMPLETION OF LOADING.
K. LAYTIME ALLOWED FOR EACH VESSEL SHALL BE CALCULATED USING THE LOADING RATE SPECIFIED IN THE CP.
L. TIME LOST DURING ANY PERIOD WHEN THE LOAD PORT IS OFFICIALLY CLOSED
M. TIME TAKEN OR LOST AS A RESULT OF HANDLING BALLAST
N. TIME LOST IN CLEANING
O. DRAFT CHECKS BEFORE OR DURING LOADING
DISCHARGING TERMS:
NOR AT DISCHARGE PORT TO BE TENDERED ATDNSHINC WWWW CUSTOMARY TERMS I.E. A NOTICE OF READINESS MAY BE TENDERED AT ANY TIME OR ON ANY DAY, SUNDAY AND HOLIDAYS INCLUDED, IMMEDIATELY UPON THE VESSEL’S ARRIVAL, PROVIDED THAT THE VESSEL IS IN EVERY RESPECTS READY FOR DISCHARGE. IF THE VESSEL IN BERTH, HOWEVER IS FOUND NOT READY IN EVERY RESPECTS FOR DISCHARGE, THEN TIME SHALL NOT BE COUNTED UNTIL SHE IS READY FOR DISCHARGING. IF THE VESSEL IS UNABLE TO COMMENCE DISCHARGING DUE TO PORT AUTHORITIES DENIAL OF FREE PRATIQUE, THEN SUCH TIME SHALL NOT COUNT BE COUNTED AS LAYTIME.
CARGO TO BE DISCHARGED AT A MINIMUM RATE OF OF 6,000 (KAKINADA) / 3,500 (GANGAVARAM) / 3,500 (VIZAG) METRIC TONS FOR EACH WEATHER WORKING DAY OF 24 CONSECUTIVE HOURS (WITH A PRO RATA PROPORTION TO BE ALLOWED FOR PART OF A DAY), SUNDAYS AND HOLIDAYS INCLUDED, BUT ALWAYS EXCLUDING STATUTORY HOLIDAYS AS DECLARED BY PORT AUTHORITIES. HOWEVER, IF THERE IS ANY DELAY SOLELY DUE TO RECEIVERS DEFAULT IN PROCESSING DOCUMENTS FOR DISCHARGING CARGO AT DISCHARGE PORT, VESSEL TO BE COMPENSATED FOR WAITING EQUIVALENT TO DEMURRAGE RATE
LAYTIME SHALL BEGIN AT THE FIRST OR SOLE DISCHARGING PORT 12 HOURS AFTER A NOTICE OF READINESS IS PROPERLY TENDERED. IF THE DISCHARGE HAS COMMENCED BEFORE LAYTIME HAS BEGUN, HALF OF THE TIME ACTUALLY USED UNTIL THE EXPIRATION OF THE TURN TIME SHALL BE COUNTED AS LAYTIME.
TIME LOST DUE TO BREAKDOWN OR DEFICIENCY OF VESSEL’S EQUIPMENT AFFECTING LOADING OR DISCHARGING, UNLESS CAUSED BY CHARTERER’S SERVANTS, TO BE DEDUCTED FROM LAY TIME OR DEMURRAGE PRO-RATED.
LAYTIME SHALL EXCLUDE THE FOLLOWING (EVEN IF ON DEMURRAGE):
A) WEATHER DELAYS IN CASE OF PRE-BERTHING DELAY, UNLESS THE VESSEL IS ON DEMURRAGE
B) SHIFTING TIME FROM/TO ANCHORAGE TO/FROM DISCHARGING PLACE/ BERTH
C) TIME TAKEN IN ANY INTERNAL SHIFTING/FLIPPING OF VESSEL AFTER BERTHING, UNTIL IT IS PERFORMED AT THE SAME BERTH.
D) TIME USED WHILE CONDUCTING INITIAL DRAFT SURVEY, FOR VESSEL/CUSTOMS FORMALITIES, PORT REQUIREMENT.
E) TIME LOST DUE TO THE VESSEL’S INABILITY TO DISCHARGE ALUMINA;
F) TIME TAKEN IN OPENING AND CLOSING HATCH COVERS, IF SUCH WORK DELAYS
G) TIME LOST AS A RESULT OF A LABOUR DISPUTE, OR STRIKE, INVOLVING MASTER, OFFICERS OR CREW OF THE VESSEL OR TUGS.
H) TIME LOST, ON PRORATE BASIS, IN THE EVENT OF BREAKDOWN OF CRANES OF THE VESSEL BY REASON OF DISABLEMENT OR INSUFFICIENT POWER.
I) SHOULD THE PORT AUTHORITY FOR REASON ABOVE SHIFT THE VESSEL TO LAY-BERTH OR ANCHORAGE, THEN IN SUCH EVENT ALL EXPENSES RELATED TO SHIFTING IN AND OUT OF THE BERTH TO BE ON OWNERS’ ACCOUNT.
J) TIME LOST DUE TO THE OCCURRENCE OF FORCE MAJEURE.
IN CASE OF ANY DEFICIENCY, THE INDEPENDENT SURVEYORS REPORT SHALL BE BINDING ON OWNERS AND CHARTERERS.
LAYTIME SHALL CEASE UPON THE COMPLETION OF UNLOADING.
ARBITRATION, IF ANY, ARISING OUT THE SAID CONTRACT BE HELD AS PER ICC RULES AND THE PLACE OF ARBITRATION SHALL BE IN BHUBANESWAR IN THE STATE OF ORISSA IN INDIA AND INDIAN LAWS SHALL APPLY. THE PARTIES HEREBY EXPRESSLY SUBMIT THEMSELVES TO THE EXCLUSIVE JURISDICTION OF THE APPROPRIATE COURTS AT JHARSUGUDA IN THE STATE OF ORISSA, INDIA.
GENERAL AVERAGE OCCURRING UNDER THIS CHARTER PARTY IS TO BE ADJUSTED, STATED AND SETTLED IN ACCORDANCE WITH INDIAN LAW AND PRACTICE, SUBJECT TO THE PROVISIONS OF THIS CHARTER PARTY.
